We will present an estimate of Taxes we collect at checkout, except where we have clearly stated in writing that a price includes Taxes. The actual Taxes charged may be adjusted from the amount shown at checkout. Several factors may cause this, such as variances between processor programs and changes in tax rates. We want to make it clear that we are not enrolled with, and are not participating providers with, any federal, state, or private payor healthcare programs for the provision of any health care or mental health services or supplies. As such, neither you nor Immuno Rx or our contracted physicians and pharmacies may receive payment from such programs for the services or products provided to you.

Furthermore, to the extent that any of our contracted pharmacies or physicians may be enrolled in federal, state, or private payor healthcare programs, the means through which the services and products are provided or made accessible through our platform typically precludes such services and products from being covered benefits under these programs.

By choosing to use our services, you are specifically choosing to obtain products and services on a cash basis outside of any federal, state, or private payor healthcare program. Thus, you are solely responsible for the costs of any service or product provided to you through our platform.

By agreeing to use our services, you acknowledge and agree that (1) you are explicitly choosing to obtain products and services on a cash basis outside of any federal, state or private payor healthcare program and you have sole financial responsibility for all services or products provided to you by or through our platform, and (2) neither you nor Immuno Rx, our contracted pharmacies, physicians or any other related entities will submit a claim for reimbursement to any federal, state, or private payor healthcare program for the costs of the services and products provided to you through our platform.

8. Prescriptions

Certain products available through our platform require a valid prescription by a licensed healthcare provider. You will not be able to obtain a prescription product unless you have completed a consultation with one of our contracted physicians through our platform, and the physician has determined that the prescription product is appropriate for you and has written a prescription.

If a physician determines that a prescription product is appropriate for you and writes you a prescription, you may fill it through one of our contracted pharmacies by using our platform, or you may fill the prescription at any pharmacy of your choice as prompted during your use of our service or by emailing us at immunoRx1@gmail.com

Prescriptions fulfilled by our contracted pharmacies may not use child-resistant packaging and prescription products will not be dispensed in child-resistant containers. It is important that you take appropriate precautions to keep all prescription medications out of reach of children.

We encourage all patients to follow the instructions of their physician and pharmacist when taking prescription medications and to contact their healthcare provider immediately if they experience any adverse reactions or side effects.

9. Risks Involved and Your Consent

At Immuno Rx, we offer telehealth services that involve the delivery of healthcare services using electronic communications, information technology, or other means between a healthcare provider and a patient who are not in the same physical location. By using our platform, you are deemed to have consented to the use of telehealth as a means of delivering healthcare services. the use of telehealth (the “Patient Consent”) provided to you by our contracted physicians and pharmacies through our platform. You agree that Immuno Rx is a third-party beneficiary of the Patient Consent and has the right to enforce it against you.

However, in some cases, the use of our platform may not be the most appropriate way for you to provide information to, communicate with, or seek medical care and treatment from a healthcare provider. For example, certain medical conditions may require an in-person procedure or a healthcare provider other than your contracted physician, or your contracted physician may determine that your diagnosis and/or treatment requires an in-person office visit or are otherwise not appropriately addressed through the use of our platform. In such cases, you may receive notification stating that you will be unable to use our platform for the particular issue you submitted and providing additional information regarding next steps.

10. Disclaimer of Warranties

At Immuno Rx, we want to be transparent about the limitations of our services. We make no representations or warranties of any kind, whether express or implied, regarding the services provided through our platform. This includes any warranties of merchantability, fitness for a particular purpose, or non-infringement.

We cannot guarantee that our services will meet your specific requirements, or that they will be uninterrupted, timely, secure, or error-free. You grant Immuno Rx a fully paid, royalty-free, perpetual, irrevocable, worldwide, royalty-free, non-exclusive and fully sublicensable right and license to use, license, distribute, reproduce, modify, adapt, publicly

perform, and publicly display submissions (in whole or in part) for the purposes of operating and providing our platform to you and to our other users.

You agree that you, not Immuno Rx, are responsible for all submissions that you provide to our platform. Immuno Rx may edit, duplicate, or alter submissions in any manner for any purpose that we deem necessary or desirable, and you irrevocably waive any and all so-called moral rights you may have in the submission. Moreover, to the fullest extent permitted by applicable laws and regulations, Immuno Rx shall have the right to use patient-reported data, including submissions that you provide to Immuno Rx, on an aggregated and anonymized basis to analyze reported outcomes and behaviors to inform prescribing best practices, improve predictive longevity modeling, and produce product recommendations that might be shared with third parties. Immuno Rx also reserves the right, subject to applicable laws and regulations, to share aggregated and de-identified patient-reported data with academic and research institutions or to use such data in its own academic or research publications at the sole discretion of Immuno Rx.

14. Conditions of Use

As a condition of your use of Immuno Rx you agree that you will not;

1. violate any laws of use, violate the Policies, post any threatening, abusive, defamatory, obscene or indecent material;
2. post or otherwise communicate any false or misleading material or message of any kind;
3. infringe any third-party right;
4. distribute spam, chain letters, or promote pyramid schemes;
5. distribute viruses or any other technologies that may harm Immuno Rx or the interests or property of Immuno Rx users;

The provisions of these terms regarding service security, prohibited activities, copyrights, trademarks, user submissions, disclaimers, limitation of liability, arbitration and resolution of disputes, indemnity, and jurisdictional issues shall survive any termination or any other termination of your relationship with Immuno Rx.

Except as provided in our privacy policy or as required by applicable law, we have no obligation to return or provide any content, information you provided to us, or any other information that relates to you or any third party on your behalf, whether before or after the termination of your use of our service.

17. Governing Law

These terms and conditions shall be governed by and construed in accordance with the laws of the state of Florida, without giving effect to any principles of conflicts of law.

18. Dispute Resolution

Any legal claims, disputes, or controversies related to Immuno Rx, the platform, the content, the service, or any other Immuno Rx goods, services, or advertising, including controversies related to the applicability, enforceability, or validity of any provision of this agreement (collectively “disputes”), shall be resolved through confidential binding arbitration conducted before one commercial arbitrator from the American Arbitration Association (“AAA”), instead of in a court. The arbitration will be governed by the AAA’s commercial arbitration rules and procedures. The arbitration shall be conducted in Lutz, Florida, except that, in certain circumstances, it may be conducted within 100 miles of your residence. Both parties agree to submit to the personal jurisdiction of the federal and state courts located in Lutz, Florida for purposes of resolving any claims or requests for relief severed from arbitration. All disputes subject to arbitration under this agreement must be arbitrated on an individual basis and not on a class, collective, or representative basis. You have the right to opt out of the requirement to arbitrate disputes with Immuno Rx within 30 days of the date that you first agree to any version of this agreement that requires arbitration of disputes with Immuno Rx.

19. Modification of Terms and Conditions

Immuno Rx reserves the right to modify these terms and conditions at any time and without prior notice. Your continued use of our services after any such modifications shall constitute your agreement to the modified terms and conditions.

20. Entire Agreement

21. Delivery method/shipping policy

Your customized treatment is shipped free directly to you. Once your doctor approves your customized plan, usually your order is shipped within 5-7 days. This time is required since your customized treatment has to be compounded (prepared), checked for accuracy and then shipped. Shipping times can sometimes be variable

22. Refund policy with acknowledgment

Because of the nature of products offered by ImmunRx, there are no returns or refunds. Damages or issues with your shipment must be reported within 72 hours following shipment of your product.
